Schneider Electric buys PTC for $22.6 billion

Schneider Electric is buying PTC for $22.6 billion, adding an industrial software platform used for product design, engineering and data management. The company plans to use PTC to expand into energy storage, automation, industrial AI and data centers while strengthening a software business that will reshape its overall mix.

PTC projected fiscal 2026 revenue of $2.69 billion to $2.75 billion, earnings per share of $7.21 to $9.70 and free cash flow of $850 million. Schneider Electric said the acquisition will increase its software market by three times, with software representing about 24% of total revenue after PTC is included.

The combined platform is expected to create a digital flywheel across products, machines, processes and energy systems, combining context, AI and data for industrial users. PTC has more than 30,000 customers globally, and Schneider Electric said it expects to save about €250 million by year three after the deal closes and generate about €800 million in revenue.
